These Terms and Conditions ("Terms") govern your use of the Centric Solutions website at centricsolutionsgh.com and any services we provide. By accessing our website or engaging our services, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, please do not use our website or services.
1. Our
Services
Centric Solutions provides custom software development services including tailored web application development, website design and development, mobile application development, and IT consultancy. The scope, deliverables, timeline, and cost for each project are agreed upon separately through a written proposal or contract before work begins.
We reserve the right to decline any project request at our discretion without obligation to provide a reason.
2. Client
Responsibilities
To enable us to deliver your project effectively, you agree to:
— Provide accurate, complete, and timely information, content, and feedback as required throughout the project.
— Ensure that any materials, logos, images, or content you supply do not infringe on any third-party intellectual property rights.
— Designate a primary point of contact authorised to make decisions on your behalf.
— Respond to requests for approvals or feedback within the timeframes agreed upon. Delays in responses may affect project timelines.
3. Payment
Terms
Payment terms are outlined in the individual project proposal or contract. Unless otherwise agreed in writing:
— A deposit is required before project work commences. The deposit amount will be specified in the project proposal.
— Remaining balances are due upon project completion or at agreed milestones before final delivery or handover.
— Late payments may result in a pause of work until the outstanding balance is settled.
— All quoted prices are in Ghanaian Cedis (GHS) unless stated otherwise.
4. Intellectual
Property
Upon receipt of full payment, all custom work created specifically for your project — including designs, code, and content — becomes your property.
Centric Solutions retains the right to use completed projects in our portfolio and for marketing purposes unless you explicitly request otherwise in writing prior to project completion.
Any third-party libraries, frameworks, or tools used in your project remain subject to their respective licences.
5. Project
Delivery
Estimated project timelines are provided in good faith and are subject to change based on the complexity of requirements, client feedback turnaround times, and any agreed scope changes.
Any changes to the agreed project scope may affect the timeline and cost. Scope changes must be submitted in writing and will require a revised proposal before work proceeds.
Centric Solutions is not liable for delays caused by factors outside our reasonable control, including late provision of content, third-party service outages, or acts of force majeure.
6. Limitation
of Liability
To the fullest extent permitted by law, Centric Solutions shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services or any delivered work.
Our total liability to you for any claim arising from our services shall not exceed the total amount paid by you for the specific project giving rise to the claim.
7. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project. This obligation survives the termination or completion of the engagement. Neither party shall disclose the other's confidential information to any third party without prior written consent.
8. Termination
Either party may terminate a project engagement with written notice. In the event of termination:
— You are responsible for payment of all work completed up to the termination date.
— Centric Solutions will deliver all completed work and assets upon receipt of outstanding payment.
9. Governing
Law
These Terms are governed by and construed in accordance with the laws of the Republic of Ghana. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Ghana.
